Barbeque Nation has launched its first outlet in Cuttack, Odisha. This is a casual dining restaurant chain’s 138th outlet in India.

Situated at Netaji Subhash Chandra Bose Arcade, Dargah Bazaar, the new outlet is spread over an area of 4,250 square feet. It can seat and serve about 108 guests at a time.

Barbeque Nation’s eat-all-you-can buffet showcases an array of vegetarian and non-vegetarian spread.

Suman Mukherjee, Regional Manager, Barbeque Nation Hospitality Ltd, said, “We are extremely delighted to launch our first outlet in the city of Cuttack and spread the wonderful experience and joy of grilling your own food on the table, to this historic city.”

Casual dining chain Barbeque-Nation Hospitality Ltd on Monday reported a net profit of Rs 16.02 crore for the first quarter ended June 30, 2022.

The restaurant chain had clocked a net loss Rs 43.85 crore in the April-June period a year ago, Barbeque-Nation Hospitality said in a regulatory filings.

Its revenue from operations was up three-fold to Rs 314.86 crore during the quarter under review as against a low base of the corresponding quarter, when sales were impacted.

In the April-June quarter of the last fiscal, Barbeque-Nation Hospitality's revenue from operations was at Rs 101.97 crore.

Barbeque Nation Hospitality total expenses were at Rs 244,41 crore.

Shares of Barbeque-Nation Hospitality Ltd were at Rs 1,187.95 on BSE, up 1.97 per cent from the previous close.

Casual dining chain Barbeque Nation Hospitality may come out with its initial share sale next week, merchant banking sources said on Friday.

Backed by CX Partners and Rakesh Jhunjhunwala's investment firm Alchemy Capital, the initial public offer  for the restaurant chain comprises fresh issue of shares worth Rs 180 crore and an offer-for-sale of up to 54,57,470 equity shares, reported PTI.

Barbeque Nation has already raised Rs 150 crore through a pre-IPO placement from Xponentia Capital and Jubilant Foodworks.

Proceeds of the issue will be utilised to fund the company's capital expenditure for expansion, besides prepayment or repayment of certain borrowings and expenses related to general corporate purposes.

The company is promoted by Sayaji Hotels, Sayaji Housekeeping Services, Kayum Dhanani, Raoof Dhanani and Suchitra Dhanani. It is backed by private equity firm CX Partners, which made its first investment in 2013 and again in 2015.

The promoters hold 60.24 per cent stake, CX Partners owns 33.79 per cent and Jhunjhunwala's investment firm Alchemy Capital holds 2.05 per cent in the company.

The total operating revenue of the company in FY20 was Rs 850.8 crore and the CAGR from FY17 to FY20 was at 19.5 per cent.

Barbeque Nation Hospitality, which filed preliminary papers in February last year, received Sebi's approval in July 2020 to float the IPO.

The issue is being managed by IIFL Securities, Axis Capital, Ambit Capital and SBI Capital Markets.

Earlier in 2017, the company had filed IPO papers with Sebi seeking to raise Rs 700 crore. However, the regulator kept the processing of the company's proposed IPO in abeyance, "pending regulatory action for past violations". It finally approved the IPO plan in January 2018.

However, the company did not launch the initial share-sale due to averse market conditions.

Barbeque Nation Hospitality owns and operates 138 outlets across India and 7 outlets in the UAE, Oman and Malaysia.

"The company has entered into a share subscription agreement to acquire equity shares and a restated shareholders' agreement to regulate the rights and obligations of BNHL's key shareholders," shared a statement from Jubilant Foodworks in a regulatory filing.

Casual dining chain Barbeque Nation operates over 138 restaurants in 73 cities across India.

The IPO comprises a fresh issue of shares worth Rs 275 crore and an offer-for-sale of up to 98,22,947 equity shares, according to the draft papers filed with the Securities and Exchange Board of India (Sebi), reported PTI.

The casual-dining chain may consider a pre-IPO placement to the tune of Rs 150 crore.

Barbeque Nation Hospitality filed its draft papers with Sebi earlier this February, obtained "observations" from the regulator on July 7, latest update with the capital markets watchdog showed.

Proceeds of the issue will be utilized to repay an outstanding borrowing of Rs 205 crore in part or full and for general corporate purposes.

The company is promoted by Sayaji Hotels, Sayaji Housekeeping Services, Kayum Dhanani, Raoof Dhanani and Suchitra Dhanani and is backed by private equity firm CX Partners, which made its first investment in 2013 and 2015 respectively.

The promoters hold 60.24 per cent, CX Partners owns 33.79 per cent and renowned stock market investor Rakesh Jhunjhunwala's investment firm Alchemy Capital holds 2.05 per cent in the company.

According to market sources, the IPO size will approximately be between Rs 1,000 crore-1,200 crore.

An entity owned by one of the promoters of Barbeque Nation is in advanced talks to acquire Bengaluru-born Italian casual dining restaurant and wine bar Toscano in a rare M&A deal on the gastronomy street, people directly aware of the matter said.

Samar Retail, part of Sara Futura Group, controlled by Barbeque Nation managing director Kayum Dhanani, wants to build a national network for Toscano, founded by two chefs Jean Michel Jasserand and Goutham Balasubramanian more than a decade ago.

The deal-making is independent of Barbeque Nation, the country’s largest grilled buffet restaurant chain. Sara Futura of Dhanani operates several other businesses including footwear brand Ruosh and an exporter for brands such as Clark’s, Bugatti and Kenneth Cole.

The two Toscano founders would stay on to build a chain of 30-40 stores in the next three years. Toscano operates five-six restaurants and wine bars in the country’s technology capital. When contacted, Samar Retail and Jean Michel of Toscano declined to comment.

The financial details of the impending transaction could not be ascertained. Toscano, owned by Red Apple Kitchen Consultancy, reported nearly Rs 33-crore revenue in FY17.

The country’s $50-billion eating out market is poised for faster growth, riding on the rising spends of the country’s young population and changing lifestyles. Italian cuisine had a 4.5% share, while pizza on its own had 6% share of this market, according to India Food Services Report 2016, jointly published by the National Restaurant Association of India and consulting firm Technopak.

Samar Retail already operates a pizzeria and cheese business under Onesta brand. Toscano will be run as a standalone company after the deal and is unlikely to compete with Onesta, which is a value food chain catering to different customers, sources said.

The domestic food services industry has not been a happy deal-making space despite its huge macro potential. Several global investors have burnt money in the sector, while consolidation deals have often tripped on details. Private equity investor L Catteron’s investment into Riyaz Amlani-led Impressario Entertainment & Hospitality, owners of Smoke House Deli and Social, was one of the notable deals recently.
