Restaurant India News: Yum! Brands Sells Pizza Hut Business for $2.7 Billion in Strategic Split Deal

Yum! Brands has announced definitive agreements to sell Pizza Hut for a combined transaction value of $2.7 billion, subject to certain purchase price adjustments. The move follows a strategic review initiated in November 2025 aimed at maximizing shareholder value and positioning the brand for long-term growth.

Under the agreement, private equity firm LongRange Capital will acquire Pizza Hut's business outside Mainland China for approximately $1.5 billion, with Yum! also eligible to receive an additional earn-out payment of $75 million by 2030. Meanwhile, Yum China Holdings will acquire Pizza Hut China for approximately $1.2 billion.

"These transactions enable Yum! to be a more focused company that continues to leverage scale, technology and talent to accelerate our raising the B.A.R. priorities and deliver sustained value for our stakeholders," said Chris Turner, Chief Executive Officer, Yum! Brands. "Under LongRange and Yum China, Pizza Hut will be well positioned for future growth with ownership that brings deep expertise in the restaurant industry. Pizza Hut was built by the passion and dedication of our team members, employees and franchisees, and we're excited for the next chapter."

Yum! and Yum China said they remain committed to their long-term partnership and have agreed on financial incentives tied to future growth at KFC China. The companies will also continue collaborating on expanding Taco Bell in Mainland China.

Following the transactions, Yum! expects to receive approximately $2.3 billion in net proceeds after taxes, closing adjustments and transaction-related fees, excluding the earn-out payment. The company also expects to incur one-time separation-related expenses of around $85 million during the remainder of 2026.

Yum! will continue providing its proprietary Byte by Yum! technology platform to Pizza Hut Ex-China and will offer certain corporate services through a transition services agreement to support the separation process.

The transactions, unanimously approved by Yum!'s Board of Directors, are expected to close in the third quarter of 2026, subject to customary regulatory approvals and closing conditions. Upon completion, Yum! Brands will no longer report Pizza Hut as a separate operating division.
